Welcome to the Corum Health Services website (the “website”). Please read the following important terms and conditions carefully. These terms and conditions govern your access to and use of the website, including any content, information, products or services therein. 

The website is owned by Corum Limited (ABN 25 000 091 305) a company incorporated in Australia (“Corum”). This is a legal agreement between you and Corum. 

1. Acceptance of these terms 

Your access to and use of this website is subject to these terms and conditions, Corum’s Privacy Statement, notices, disclaimers and any other terms and conditions or other statements contained on this website and, if you use any of the services identified on this website for which additional or alternative terms and conditions are referred to, those additional terms and conditions for those other services (referred to collectively as "Terms of Use"). 

By accessing, viewing or otherwise using this website, you agree to be subject to these Terms of Use. Should you object to any of these Terms of Use, any guidelines, or any subsequent replacement or variation thereto or become dissatisfied with the website in any way, your only recourse is to immediately discontinue use of the website. 

2. Variation and modification 

Corum may, at its sole discretion, vary or modify these Terms of Use without notice. Any subsequent access to, or use by you of the website will constitute an acceptance of those variations or modifications. 

3. Provision of documents 

You agree that where Corum or any other company in the Corum Group is required, by law or otherwise, to provide you with a document, you consent to the provision of that document electronically through the links on this website. We suggest that you print a copy of the document, or file it electronically, for future reference. 

4. Australian and New Zealand residents only

Unless otherwise stated expressly, products and services referred to on this website are only available to individuals who are either residents in Australia or New Zealand. 

5. Website access

Corum grants you permission to use the website subject to and conditional upon your strict compliance with these Terms of Use. 
In order to access some features of the website, you may have to create an account. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account. You must keep your account password secure. You must notify Corum immediately of any breach of security or unauthorised use of your account. You must not use another person’s account without permission. Corum is not liable for any of your losses or damages caused or contributed to by any use (including unauthorised use) of your account. However, you will be liable for the losses or damages of Corum or others due to such use (including unauthorised use). 

No minor under the age of 13 may use the website.

You must update and maintain the accuracy of any information you submit to Corum. 

You must not, other than as may be reasonably necessary to use the website for its intended purpose:  
copy, publish, display, perform or distribute any part of the website in any medium without Corum's prior written authorisation;

solicit any users of the website. 

You must otherwise strictly comply with these Terms of Use.

If Corum and other members of the Corum Group offer products and services named on this website this paragraph applies. The offers are identified in the disclosure documents (which include Product Disclosure Statements, where applicable). To invest or use any products or services, please complete the relevant application form attached to or accompanying the relevant disclosure document, a copy of which can be obtained by accessing the document through the appropriate link and printing it or phoning (02) 9299 5561. Users should consider the disclosure document (including Product Disclosure Statement, where appropriate) in deciding whether to acquire or use the product or service.

The website may contain links to other third party websites, which are independent of Corum. Corum makes no representation or warranty as to the accuracy, completeness or authenticity of the information contained in any such site. Your linking to any other websites is at your own risk. 

By using the website, you hereby release Corum, its officers, employees, agents and successors from all claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to your use of any third-party website. Accordingly, we encourage you to be aware when you leave the website and to read the terms and conditions and privacy policy of each other website that you visit.

The website may contain features and functionalities that may link you or provide you with access to third party content which is independent of Corum, including web sites, directories, servers, networks, systems, information and databases, applications, software, programs, products or services, and the Internet as a whole. 

Your interactions with organisations and/or individuals found on or through the website, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organisations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. 

Corum is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on the website, or between users and any third party, Corum is under no obligation to become involved. If you have a dispute with one or more other users, you hereby release Corum, its officers, employees, agents and successors from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or the website. 

10. Privacy and information disclosure

Corum has established a Privacy Policy to explain to users how their information is collected and used, which is located at the following web address:www.corumhealth.com.au 

Your use of the website signifies acknowledgement of and agreement to our Privacy Policy. Corum may, in its sole discretion, preserve or disclose your information, such as email addresses, IP addresses, timestamps, and other user information, if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: comply with legal process; enforce these Terms; respond to claims that anything you do violates the rights of third-parties; respond to claims that contact information (e.g. phone number, street address) of a third-party has been posted without their consent or as a form of harassment; protect the rights, property, or personal safety of Corum, its users or the general public. 

11. No spam policy

You must not send unsolicited email advertisements to Corum email addresses or through Corum computer systems. Any unauthorised use of Corum computer systems is a violation of these Terms and certain Commonwealth and State laws.

12. Termination of service

Corum, in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the website (or any part thereof), immediately and without notice, and for any reason (including, without limitation, if Corum believes that you have acted inconsistently with the letter or spirit of these Terms of Use) or for no reason at all. Corum shall not be liable to you or any third-party for any termination of your access to the website or anything else done under this paragraph. 

Any such termination is without prejudice to all other remedies available to Corum at law and under these Terms of Use.

You must not attempt to use the website after any such termination. The provisions of these Terms of Use survive termination.

Anything displayed on or through the website is protected by copyright separately and as a collective work and/or compilation, pursuant to copyrights laws, and international conventions. Corum owns trademarks which are registered or under application. Some of those trademarks are used in this website: www.corumhealth.com.au, including the name Corum and Corum’s logo. You are not permitted to use Corum’s trademarks without its prior written consent, unless such use is otherwise permitted by this web-site or by law.

Under no circumstances shall any Corum entities (as defined in paragraph 17) be liable for direct, indirect, incidental, special, consequential or exemplary damages (even if the Corum entity has been advised of the possibility of such damages), resulting from or connected with any of the following: 
(a) any aspect of your use of the website, whether the damages arise from use or misuse of the website, from inability to use the website, or the interruption, suspension, modification, alteration, or termination of the website; 
(b) any breach of contract, breach of warranty, tort (including negligence), product liability or otherwise; 
(c) other services or products received through or advertised in connection with the website; 
(d) any damage or corruption to or loss or destruction of any of your material; or 
(e) any links on the website, as well as by reason of any information or advice received through or advertised in connection with the website or any links on the website.

These limitations shall apply to the fullest extent permitted by law. 

The liability of Corum Entities under or in relation to any warranty or condition implied into these Terms of Use by law which cannot be excluded in Australia, is limited to one or more of the following at the option of Corum: (i) in the case of goods, the replacement or repair of the goods or payment of the cost of having the goods replaced; or (ii) in the case of services, the supply of the services again or payment of the cost of having the services supplied again.

17. Indemnity

You agree to indemnify and hold Corum, its officers, subsidiaries, associates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, (collectively “Corum Entities”) harmless from any claim or demand, including all legal fees and court costs, made by any third party due to or arising out of or in any way connected with (i) your use of or access to the website; (ii) material you submit, post or make available through the website; (iii) your use of the website; (iv) your violation of these Terms of Use or any provision thereof; (v) your breach of any of the representations and warranties herein; (vi) your violation of any rights of another; or (vii) any claim that any of your material provided or submitted by you caused or contributed to damage to or defamed a third party or otherwise failed to comply with these Terms. 

You are solely responsible for defending any claims or demands referred to in above, and for payment of losses, costs, damages or expenses resulting from the foregoing to both a third party and to any of the Corum Entities. Each Corum Entity shall have the right to withhold payments to you to offset liabilities and expenses covered hereunder. You must not enter into any proposed settlement or resolution of any claim (whether having been finally adjudicated or otherwise) brought against you or the Corum Entity, if such settlement or resolution results in any obligation or liability for the Corum Entity. 

18. General information

These Terms of Use constitute the entire agreement between you and Corum and govern your use of the website, superseding any prior agreements between you and Corum. 

You agree that: (i) the website shall be deemed solely based in New South Wales, Australia; and (ii) the website shall be deemed a passive website that does not give rise to personal jurisdiction over Corum, either specific or general, in jurisdictions other than New South Wales, Australia. 

These Terms and the relationship between you and Corum shall be governed by the laws of the State of New South Wales, Australia without regard to its conflict of law provisions. You and Corum agree to submit to the personal and exclusive jurisdiction of the courts of New South Wales, Australia. 

The failure of Corum to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. 

If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms of Use remain in full force and effect. 

Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the website or these Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred. 
Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. 

19. Assignment

These Terms of Use and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Corum without restriction.
